Welcome to www.charterlegasea.com (the “Site”), operated by Legasea Marine Services LLC (“Legasea,” “Company,” “we,” “us,” or “our”). These Terms of Use (these “Terms”) govern your access to and use of the Site and all related content, functionality, products, services, and communications made available through the Site.
BY ACCESSING, BROWSING, OR USING THE SITE, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS WITHOUT LIMITATION OR QUALIFICATION. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SITE.
Acceptance of Terms
These Terms constitute a legally binding agreement between you and the Company regarding your access to and use of the Site and all text, images, videos, graphics, software, information, booking inquiry forms, communications, and other content made available through the Site (collectively, the “Content”).
Your use of the Site constitutes your acknowledgment that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

Certain portions of the Site, including booking requests, charter inquiries, concierge services, promotional offers, or other services, may be subject to additional terms, conditions, waivers, charter agreements, cancellation policies, or other documents that may be presented to you separately (“Supplemental Terms”). Such Supplemental Terms are hereby incorporated into these Terms by reference.
In the event of a conflict between these Terms and any executed charter agreement or Supplemental Terms, the executed charter agreement or Supplemental Terms shall control solely with respect to the applicable subject matter.
Changes to Terms
The Company reserves the right to revise, modify, or update these Terms at any time in its sole discretion. The “Effective Date” at the top of these Terms indicates when these Terms were last revised.
Any changes become effective immediately upon posting to the Site unless otherwise stated. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of such revised Terms.
The Company may, but is not obligated to, provide additional notice of material changes, including by posting a prominent notice on the Site.
Eligibility
The Site is intended solely for individuals who are at least eighteen (18) years old and capable of forming legally binding contracts under applicable law.
By using the Site, you represent and warrant that:
You are at least eighteen (18) years old;
You possess the legal authority to enter into these Terms; and
Your use of the Site does not violate any applicable law or regulation.

Booking Inquiries and No Guarantee of Availability
The Site may permit users to submit charter inquiries, booking requests, service requests, or other communications.
Submission of a request through the Site does not constitute acceptance, confirmation, or guarantee of:
Vessel availability;
Pricing;
Charter terms;
Itinerary availability; or
Any specific service.
All charter services remain subject to separate written agreements, vessel availability, weather conditions, safety considerations, Coast Guard regulations, and final Company approval.
Displayed pricing, vessel descriptions, specifications, amenities, itineraries, photography, and availability are subject to change without notice and may vary from actual conditions.
User Submissions
Any information, materials, reviews, testimonials, photographs, videos, inquiries, comments, suggestions, or other content submitted by you through the Site (“Submissions”) shall be deemed non-confidential and non-proprietary unless expressly agreed otherwise in writing.
You represent and warrant that:
You own or control all rights in and to your Submissions;
Your Submissions do not violate applicable law or infringe any third-party rights;
Your Submissions are not false, misleading, defamatory, obscene, threatening, abusive, invasive of privacy, or otherwise objectionable.
You grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, distribute, display, and otherwise exploit such Submissions in connection with operating, marketing, improving, and promoting the Site and the Company’s business.
The Company reserves the right, but not the obligation, to remove or refuse to post any Submission in its sole discretion.
Intellectual Property Rights
All Content on the Site, including all trademarks, service marks, trade names, logos, designs, graphics, photographs, videos, text, software, source code, compilations, and other materials, are owned by or licensed to the Company and are protected by applicable intellectual property and proprietary rights laws.

WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT:
THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
DEFECTS WILL BE CORRECTED;
THE SITE OR SERVER IS FREE OF VIRUSES OR HARMFUL COMPONENTS;
THE CONTENT IS COMPLETE, ACCURATE, RELIABLE, OR CURRENT; OR
THE SITE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.

Marine and Charter Activity Disclaimer
Participation in marine activities, yacht charters, boating excursions, and water-related experiences involves inherent risks, including risks of personal injury, illness, death, property damage, weather-related hazards, and other dangers that cannot be eliminated.
Nothing on the Site constitutes a guarantee regarding safety, weather conditions, sea conditions, itinerary availability, or uninterrupted operation of any vessel or charter activity.
Separate waivers, releases, and charter agreements may be required before participation in any charter or marine activity.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, REPRESENTATIVES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO:
YOUR USE OF OR INABILITY TO USE THE SITE;
ANY CONTENT ON THE SITE;
ANY THIRD-PARTY WEBSITES OR SERVICES;
ANY BOOKING OR CHARTER ARRANGEMENT;
ANY ERRORS OR OMISSIONS IN CONTENT; OR
THESE TERMS.
THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(A) ONE HUNDRED U.S. DOLLARS ($100.00); OR
(B) THE AMOUNT ACTUALLY PAID BY YOU TO THE COMPANY, IF ANY, FOR USE OF THE SITE.
THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS OF LIABILITY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES AND SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
NOTHING IN THESE TERMS SHALL EXCLUDE LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, members, managers, officers, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, causes of action, damages, judgments, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees and legal expenses, arising out of or relating to:
Your use of the Site;
Your breach of these Terms;
Your violation of any applicable law or regulation;
Your infringement or violation of any third-party rights; or
Your Submissions.
Termination and Access Restrictions
The Company reserves the right, in its sole discretion and without notice or liability, to terminate, suspend, restrict, or deny your access to all or any portion of the Site for any reason or no reason, including for violation of these Terms.

The Company shall not be liable for any delay, interruption, cancellation, failure, or inability to perform resulting from causes beyond its reasonable control, including:

Marine conditions;
Mechanical failures;
Pandemics or public health emergencies;
Governmental actions;
Labor disputes;

Fuel shortages; or
Acts of terrorism or war.
Governing Law; Exclusive Venue
These Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Nassau County, New York.
You consent to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.
Limitation on Time to File Claims; Class Action Waiver
ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ACCRUES, OR SUCH CLAIM SHALL BE PERMANENTLY BARRED.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY AGREE THAT ANY DISPUTE SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
No waiver by the Company of any provision of these Terms shall be deemed a continuing waiver or a waiver of any other provision.
Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Site and supersede all prior and contemporaneous agreements, communications, and understandings relating to the subject matter herein.
